If you are using Schedzy on behalf of a business, you represent that you have the authority to bind that business to these Terms.

Lawful Business Only

Schedzy is exclusively for lawful business activities and legitimate service providers. By using our platform, you represent and warrant that:

• Your business operates in full compliance with all applicable laws and regulations
• You hold all required licenses, permits, and certifications for your services
• Your services do not involve illegal activities or prohibited content
• You comply with health, safety, and professional standards in your jurisdiction
• You maintain appropriate business insurance where required by law

Prohibited Services: Schedzy strictly prohibits any adult entertainment, escort services, prostitution, pornography, sexually explicit content, or services of a sexual nature. This includes but is not limited to massage services with sexual components, adult photography, or any business that primarily caters to adult entertainment.

We reserve the right to verify business legitimacy and request documentation of licenses or certifications. Accounts found to be operating unlawfully or offering prohibited services will be immediately terminated without notice.

Schedzy provides an online platform that connects service providers with customers for booking appointments and managing business operations. Our services include:

User Accounts and Responsibilities

Account Registration

• You must provide accurate and complete information
• You are responsible for maintaining account security
• One person or business per account
• You must notify us immediately of any unauthorized access

Acceptable Use

You agree not to:

• Use the service for illegal or unauthorized purposes
• Offer services that require professional licensing without proper credentials
• Advertise, provide, or facilitate adult entertainment, escort services, prostitution, pornography, or any sexually explicit content or services
• Engage in any form of illegal gambling, drug-related activities, or weapons sales
• Attempt to gain unauthorized access to our systems
• Upload malicious code or viruses
• Harass or abuse other users
• Violate any applicable laws or regulations
• Use fraudulent business information or impersonate another business

• Service providers set their own pricing and payment terms
• Platform fees may apply to subscription services
• Refunds are subject to individual service provider policies

Service Provider Terms

If you are a service provider using Schedzy:

• You are responsible for the quality and delivery of your services
• You must maintain accurate business information and availability
• You agree to honor confirmed bookings
• You are responsible for setting appropriate cancellation policies
• You must comply with all applicable business licenses and regulations
• You certify that your services do not involve adult entertainment, escort services, prostitution, pornography, or any sexually explicit content
• You agree that Schedzy is not suitable for and prohibits any adult-oriented businesses

Intellectual Property

Schedzy and its content, features, and functionality are owned by Schedzy and are protected by international copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our software or content
• Reverse engineer or attempt to extract source code
• Use our trademarks without permission

API Usage Terms

If you access our API or use automated tools to interact with Schedzy:

• You must comply with our API rate limits and usage guidelines
• You may not use the API to compete with our services
• API access may be suspended for misuse or violation of terms
• You are responsible for maintaining the security of your API credentials

Privacy and Data Protection

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Schedzy, you consent to the collection and use of your information as described in our Privacy Policy.

Data Retention

Limitation of Liability

To the maximum extent permitted by law, Schedzy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.

Subscription and Billing

Subscription Plans

• Free Plan: Basic features with limited bookings per month
• Premium Plan: Enhanced features and unlimited bookings
• Subscription fees are billed in advance

Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months or unused features

Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Abuse of our platform or other users

Upon termination, your right to use Schedzy will cease immediately, and we may delete your account and data.

Force Majeure

Schedzy shall not be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, war, terrorism, epidemic, internet service provider failures, or other acts of God. In such cases, our obligations will be suspended until the force majeure event ceases.

Indemnification

You agree to indemnify, defend, and hold harmless Schedzy, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from or relating to:

• Your use of the Schedzy platform
• Your violation of these Terms of Service
• Your violation of any rights of another party
• Services you provide through our platform

Binding Arbitration

The arbitration shall be conducted by a single arbitrator and judgment on the arbitration award may be entered in any court having jurisdiction.

These Terms are governed by and construed in accordance with the laws of Alberta, Canada, without regard to conflict of law principles. Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of Alberta, Canada.
